服务条款

POPCUSTOMS平台用户服务协议

本协议是由POPCUSTOMS平台(包括PC端网站及移动端网站,以下简称”平台”或”POPCUSTOMS平台”)的用户(以下或称”您”)与POPCUSTOMS平台的运营方”福建众潮科技有限公司”(以下或称”众潮科技”或”我们”)之间,就POPCUSTOMS平台服务等相关事宜共同缔结。 


一、协议的确认及接受

        1.1 本协议由您与众潮科技共同缔结,本协议对您与众潮科技具有同等法律效力。

        1.2 您在点击同意本协议之前,应当认真阅读本协议。请您务必审慎阅读、充分理解各条款内容,特别是免除或者限制责任的条款、法律适用和争议解决条款以及其他字体加粗以提示您注意的条款。

        1.3 当您按照注册页面提示填写信息、阅读并点击确认同意本协议且完成全部注册程序,或以任何方式进入POPCUSTOMS平台并使用服务即表示您已充分阅读、理解并同意接受本协议的条款和条件。阅读本协议的过程中,如果您不同意本协议或其中任何条款约定,您应立即停止注册程序并停止使用服务。

        1.4 由于互联网高速发展,您与众潮科技签署的本协议列明的条款并不能完整罗列并覆盖您与众潮科技所有权利与义务,现有的约定也不能保证完全符合未来发展的需求。因此,众潮科技法律声明、隐私条款、POPCUSTOMS平台规则及所有POPCUSTOMS平台已经发布或将来可能发布并采取合理途径进行公示的各类协议、声明或规则均为本协议的补充协议,与本协议不可分割且具有同等法律效力。如您使用众潮科技服务,视为您同意接受上述补充协议。

        1.5 根据中华人民共和国有关法律、法规及相关政策及变化及平台运营需要,众潮科技有权对本协议中条款及其它POPCUSTOMS平台规则不时进行修订,我们将以网站公示的方式对修订后的协议进行变更公告。变更后的协议一经在POPCUSTOMS平台上发布即在特定的时间自动生效(协议生效时间最早为公告发布后的第7日),并代替原来的协议。您应在使用本平台前认真阅读本协议及POPCUSTOMS平台上公示的其他公告,并在使用本平台服务过程中不时关注平台公告、提示信息及协议、规则等相关内容的变动。您知悉并确认,若您不同意变更后的协议,应立即停止使用本平台;若您继续使用POPCUSTOMS平台,则视为知悉变动内容并接受变更后的协议。

如您不同意变更事项,您有权于变更事项确定的生效日前联系众潮科技反馈意见。如反馈意见得以采纳,众潮科技将酌情调整变更事项。如您对已生效的变更事项仍不同意的,您应当于变更事项确定的生效之日起停止使用众潮科技服务,变更事项对您不产生效力;如您在变更事项生效后仍继续使用众潮科技服务,则视为您同意已生效的变更事项。


二、定义

        2.1 POPCUSTOMS平台:指众潮科技主办运营的满足用户定制贸易需求的在线信息发布及交易撮合平台,包含众潮科技网站(域名为popcustoms.cn)。

        2.2 众潮科技:指”福建众潮科技有限公司”,系POPCUSTOMS平台的运营方。

        2.3 众潮科技服务:指众潮科技基于互联网,以包含PC端网站、移动端网站等在内的各种形态向您提供的各项信息技术服务(下称”服务”)。

        2.4 POPCUSTOMS平台规则:指在POPCUSTOMS平台已发布及未来可能发布的全部协议、规则、条款、产品流程说明、公告等内容。

三、账户注册、使用与注销

        3.1 您确认,在您完成注册程序或以其他众潮科技允许的方式实际使用服务时,您应当具备中华人民共和国法律规定的与您行为相适应的民事行为能力。若您不具备前述与您行为相适应的民事行为能力,则您及您的监护人应依照法律规定承担因此而导致的相应后果,且众潮科技有权终止向您提供服务并注销您的账户如您代表一家公司或其他法律主体在POPCUSTOMS平台注册,则您声明和保证,您有权使该公司或该法律主体受本协议的约束。

        3.2 在您按照注册页面提示填写信息、阅读并点击同意本协议且完成全部注册程序后,或您以其他众潮科技允许的方式实际使用众潮科技服务时,您即受本协议及其补充协议的约束。您可以使用已注册的众潮科技账户、手机号码或者众潮科技允许的其它方式作为登录手段进入POPCUSTOMS平台。

        3.3 您设置的账户登录名不得违反国家法律法规及POPCUSTOMS平台规则的规定,否则众潮科技可回收您的登录名,并按法律法规或平台规则进行相应的处理。

        3.4 您向POPCUSTOMS平台提供的资料应真实、准确、完整、合法有效;如有变更时,您应及时、主动地在平台上更新相关资料;否则,您将承担因此对您自身、他人或众潮科技造成的全部损失与不利后果。若因国家法律法规、部门规章或监管机构的要求,众潮科技需要用户补充提供任何相关资料时,如您不能及时配合提供,众潮科技有权暂停或终止向您提供部分或全部众潮科技服务,由此产生的一切风险、责任、损失、费用等应由您自行承担。

        3.5 您应自行妥善保管您的账户密码。账户因您泄露或遭受他人攻击、诈骗等行为导致的损失及后果,众潮科技并不承担责任,您应通过司法、行政等救济途径向侵权行为人追偿。如发现任何未经授权使用您账户登录POPCUSTOMS平台或其他可能导致您账户遭窃、遗失的情况,建议您立即通知众潮科技。您理解众潮科技对您的请求采取行动均需要合理时间,众潮科技对在采取行动前已经产生的后果(包括但不限于您的任何损失)不承担任何责任;且众潮科技应您请求而采取的行动可能无法避免或阻止侵害后果的形成或扩大,除众潮科技存在法定过错外,众潮科技不承担任何责任。

        3.6 您应对您账户项下的所有行为结果(包括但不限于在线签署各类协议、网上点击同意/不同意各类规则协议、信息披露、图片上传、在线设计、发布信息、购买或委托第三方购买商品或服务等)负责。

        3.7 您在POPCUSTOMS平台上发生的所有商品或交易服务,由您与代理采购商另行签订的《委托代理协议》规范,我们不参与POPCUSTOMS平台上涉及商品或交易等服务内容。众潮科技仅提供信息展示及交易撮合服务,不介入您与任何第三方的商品或服务交易,您与任何第三方的交易风险和纠纷,由您自行通过合法途径解决。

        3.8 注销

                3.8.1 在您需要终止使用POPCUSTOMS平台服务时,您可以依照我们的流程申请注销您本人的账户,请您知悉并同意: 

                        (1)您可以通过人工的方式申请注销账户。 

                        (2)您申请注销账户处于正常状态,即您的账户的信息是最新、完整、正确的,且账户未被采取止付、有权机关冻结等限制措施。 

                        (3)为了维护您和其他用户的合法利益,在您申请注销账户时,我们会进行风险审查,您的账户应当不存在正在履行交易或其他未了结的权利义务,且不存在其他因注销可能引发纠纷的情况。如您的账户有余额,请您在注销前先将您的账户下对应的可用款项全部提现,或者通过消费等途径支用完毕。  

                3.8.2 发生下列情形之一的,我们有权注销您的账户: 

                        (1)如您存在(包括可能存在)在POPCUSTOMS平台上传违法违规图片的行为、侵犯(包括可能侵犯)第三方合法权益的行为或其他违反本协议约定、POPCUSTOMS平台规则等行为时; 

                        (2)您使用POPCUSTOMS平台服务从事侵犯他人合法权益或其他严重违法违约活动的; 

                        (3)连续12个月未登录POPCUSTOMS平台的; 

                        (4)您的实名认证身份无效、不再合法存续或无法有效核实; 

                        (5)您设置的众潮科技账户名称存在违法或不良信息、或侵犯或涉嫌侵犯他人合法权益的;您盗用他人账户、发布违禁信息、欺诈、售假、扰乱市场秩序、采取不正当手段牟利等行为; 

                        (6)您存在对商品及服务实施恶意处理订单、恶意维权等扰乱POPCUSTOMS平台正常交易秩序行为的; 

                        (7)您利用本平台进行非法交易、买卖,违反中华人民共和国相关法律法规和有关政策的; 

                        (8)因您多次违反POPCUSTOMS平台规则相关规定且情节严重,众潮科技依据POPCUSTOMS平台规则对您的账户予以注销的;

                        (9)POPCUSTOMS平台依据有关国家部门/政府机构的要求,对您采取中止/终止提供服务操作的; 

                        (10)根据本协议其他约定被注销用户账户的。 

POPCUSTOMS平台根据本协议注销您的账户后,您将不能再用该账户登录POPCUSTOMS平台。如您因上述前款约定之情形而被注销用户账户时,该账户中仍有余额的,我们将会暂时替您保管,并在核实身份后协助您取回。 

                3.8.3 用户账户注销后,您将无法使用我们的服务,双方的权利义务终止(本协议另有约定不得终止的或依其性质不能终止的除外),同时还可能产生如下结果:

                         (1)与用户账户关联的权益均将作废; 

                        (2)如您在注销用户账户前存在违法、违约、侵权等不当行为或正在履行合同的,您仍应承担法律责任; 

                        (3)一旦注销成功,账户记录、账户功能等将无法恢复或提供。

 四、平台服务及使用规则

        4.1 平台服务定位

通过众潮科技提供的平台服务,您可以自行选择生产商及其提供的产品底板进行设计,与平台上的生产商达成交易意向,以及使用其他信息服务及技术服务。 

        4.2 选品设计

                4.2.1 您可以通过生产商在POPCUSTOMS平台发布的产品信息,自行选择生产商及其提供的产品底板进行设计。 

                4.2.2 您可以使用POPCUSTOMS平台的设计器进行商品设计。商品设计功能有助于您创建、优化商品视觉设计。 

                4.2.3 您可以在平台上传图片用于商品设计,并建立您的专属图库,众潮科技为您的图库提供存储空间。 

                您同意不提交、不使用含有以下内容的图片或文字: 

                        (1)反对宪法所确定的基本原则的; 

                        (2)危害国家安全,泄露国家秘密,颠覆国家政权,破坏国家统一的,损害中国及国家领导人、国家机关、执法人员或革命领袖肖像的; 

                        (3)损害国家荣誉和利益的; 

                        (4)歪曲、丑化、亵渎、否定英雄烈士事迹和精神,以侮辱、诽谤或者其他方式侵害英雄烈士的姓名、肖像、名誉、荣誉的; 

                        (5)宣扬恐怖主义、极端主义或者煽动实施恐怖活动、极端主义活动的; 

                        (6)煽动民族仇恨、民族歧视,破坏民族团结的; 

                        (7)破坏国家宗教政策,宣扬邪教和封建迷信的; 

                        (8)散布谣言,扰乱经济秩序和社会秩序的; 

                        (9)散布淫秽、色情、赌博、暴力、凶杀、恐怖或者教唆犯罪的; 

                        (10)侮辱或者诽谤他人,侵害他人名誉、隐私、肖像或者其他合法权益; 

                        (11)侵犯第三方知识产权(包括但不限于著作权、商标权、专利权、隐私权或肖像权)、商业秘密及其他专有权利的; 

                        (12)侵害未成年人权益、教唆犯罪或任何其他违反公序良俗的; 

                        (13)欺诈、虚假、不准确或存在误导性的;

                         (14)可能构成或助长犯罪或侵权; 

                        (15)包含基于种族、宗教、性别、性取向、年龄、残疾、血统或国籍而歧视他人的任何信息; 

                        (16)法律、行政法规禁止的其他内容,以及其他违背社会公共利益或公共道德或依据相关POPCUSTOMS平台协议、条款、规则的规定不适合在POPCUSTOMS平台上发布的。  

                如您违反您在本协议中所作的陈述、保证和承诺,在POPCUSTOMS平台上发表或传输了违反本协议约定的定制资料的,您均应当以自己的名义独立承担所有的法律责任,并应确保众潮科技、代理采购商及生产商免责;并且您有义务尽最大努力采取一切必要手段配合众潮科技、代理采购商及生产商免除、减轻损失,包括但不限于出具有关众潮科技、代理采购商及生产商已尽合理注意义务的书面声明及证人证言。 

                4.2.4 您确认、声明并保证: 

                        (1)您对您上传至平台的资料(包括但不限于上传于图库的图片、在线设计的图片等)或在平台发布的信息拥有相应、合法的权利;您有权转授权您指定的生产商将您上传的图片、在线完成设计的图片等定制资料用于商品印刷、加工、生产等。众潮科技、代理采购商、生产商不会对您上传的图片、在线设计的图片的使用作出任何明示或默示的权利保证。 

                        (2)您上传、在线设计的图片等定制资料,以及许可生产商因生产、加工商品而使用定制资料的行为不会违反任何法律或侵犯任何第三方的任何权利,包括但不限于任何知识产权、隐私权和肖像权等。 

                        (3)生产商按照订单内容进行商品生产、加工而使用您的图片时,不承担根据任何集体谈判协议或其他协议而产生的任何会费、剩余报酬、款项、费用或作品使用费的责任。 

                        (4)目前没有任何尚未了结或可能提出的诉讼、索赔或其他法律或行政程序可能会直接或间接影响您的任何定制资料或可能以任何方式影响生产商使用您提供的定制资料的权利。 

                        (5)如果您的图片以任何方式包含或纳入了任何组件,包括但不限于包含在设计程序中的设计元素、字体、剪贴画、子画面、矢量图或画笔工具等,那么将任何此类图片上传到POPCUSTOMS平台,即表示您已获得合法有效的许可允许您将这些元素纳入您创建的图片设计中,以及允许您出于本协议中规定的目的,将此类图片无偿授权许可给您指定的生产商在本协议约定的用途范围内使用。 

                        (6)您在POPCUSTOMS平台进行设计和下单时,由您上传至POPCUSTOMS平台的图片,您必须保证图片的清晰度、完整性、分辨率等符合生产商关于该类产品的要求;如您提供的图片无法达到生产工艺要求,导致成品出现问题,POPCUSTOMS平台及本平台上的代理采购商、生产商不承担任何责任。 

        4.3 采购订货及付款

                4.3.1除法律另有强制性规定外,双方约定如下:POPCUSTOMS平台上展示的商品和价格等信息仅仅是交易信息的发布,并不构成要约。在您下订单时,请您仔细确认所购商品的名称、价格、数量、型号、规格、尺寸及收货人的姓名、收货地址、联系地址、电话等信息,并确认您所选择的物流服务提供商。您向POPCUSTOMS平台提供的信息与订单收货人的信息存在不一致的,收货人的行为即视为您的行为及表示,您应对收货人的行为及意思表示所产生的法律后果承担连带责任。 

                4.3.2您知悉接受了《委托代理协议》,即表明您不可撤销的委托众潮科技代理您向生产商采购根据您确定的图片内容及商品品类而生产的商品。 

                4.3.3根据您下单时填写的商品数量、价款、收货人、联系方式、收货地址等内容,系统自动生成订单信息,您确认由系统自动生成的订单为您向代理采购商发出的合同要约;只有在代理采购商收到该订单信息后且发出货物时,方视为您与代理采购商之间就您所提交的订单商品成立了合同关系;如果您在一份订单里订购了多种商品并且代理采购商只向您发出了部分商品时,您与代理采购商之间仅就该部分商品成立委托代理关系。 

                4.3.4受法律法规限制,众潮科技有权对您的订单进行审核;如订单中任何内容或信息(如定制资料等)违反法律法规、本协议及平台规则,众潮科技有权取消订单或拒绝服务,因此造成的一切损失和责任由您承担。如您的订单中的部分交易不符合平台规则的,则POPCUSTOMS平台有权仅取消您订单中的部分交易内容。 

        4.4 交易数据

您认可众潮科技账户的使用记录、订单信息、交易金额数据等均以众潮科技系统记录的数据为准。如您对该等数据存有异议的,应自您的众潮科技账户数据发生变动之日起三日内向众潮科技提出异议,并提供相关证据供众潮科技核实。 

        4.5 店铺关联管理

                4.5.1您可以在POPCUSTOMS平台上使用店铺关联功能来帮助您更轻松的运营您在其他电商平台的店铺,如您使用该项功能,则视为您授权众潮科技关联您在其他电商平台的店铺账户,并允许众潮科技获取您店铺的各项相关信息。 

                4.5.2您可以在POPCUSTOMS平台上使用相关服务来帮助您进行产品发布,以及将店铺订单导入至POPCUSTOMS平台中,方便您进行店铺的运营分析和数据管理。 


五、物流及售后

        5.1 平台为方便您选择物流方式,为您列出物流承运商提供的运输费用和运输参考时间,但您应该知悉,该物流配送服务并不由众潮科技提供,众潮科技无需承担任何责任;平台提供的运输费用和运输参考时间等信息展示不代表众潮科技对前述费用、时间作出任何承诺。

        5.2 更多物流服务说明详见POPCUSTOMS平台《委托代理合同》、《平台代发物流说明》及平台公开展示的各家物流商说明。

        5.3 如您购买的商品在规定时间内出现国家法律所规定的性能故障或商品质量问题,您可在订单发货起60天内申请售后服务。由对应的生产商审核通过后进行退款及相应的运费补偿。具体详情可参见POPCUSTOMS平台上公告的《产品售后政策》。

六、订单支付

        6.1 POPCUSTOMS平台支持以下支付方式:

                (1)在线支付:选择在线支付,请您进入”我的订单”,点击”支付订单”,按提示进行操作;目前在线支付渠道包括微信、支付宝、账户余额等方式进行支付。 

                (2)线下转账/汇款:选择线下转账/汇款的,请您按照支付页面提示进行相关操作,在您完成银行转账/汇款后,请及时在线提交转账汇款凭证,线下转账/汇款方式的到账时间是1-3个工作日,平台会在您提交凭证后及时完成对账审核。 


七、用户信息保护与授权

        7.1 众潮科技非常重视用户个人信息(即能够独立或与其他信息结合后识别用户身份的信息)的保护,在您使用众潮科技提供的服务时,我们视为您同意众潮科技按照在POPCUSTOMS平台上公布的《隐私条款》收集、存储、使用、披露和保护您的个人信息。众潮科技希望通过《隐私条款》向您清楚地介绍众潮科技对您个人信息的处理方式,因此众潮科技建议您完整地阅读《隐私条款》,以帮助您更好地保护您的隐私权。

        7.2 对您提供、发布的非个人信息以及在交易过程中形成的信息,您同意无条件免费授予众潮科技使用。

        7.3 您同意众潮科技拥有通过邮件、短信、电话、公告等形式,将平台促销活动等信息通知您的权利。

        7.4 您同意众潮科技为配合行政监管机关、司法机关执行工作,在法律规定范围内有权向上述行政、司法机关提供您在使用POPCUSTOMS平台时所储存的相关信息。

八、用户行为规范

        8.1 在本平台上使用众潮科技提供的服务过程中,您声明并保证,您对您上传平台的资料(包括但不限于上传于图库的图片、在线设计的图片等)或在平台发布的信息拥有相应、合法的权利;同时您应当确保上述资料或信息不违反本协议第4.2.3条和第4.2.4条的约定。

        8.2 您应善意诚信的使用平台提供的在线定制、交易等各项服务,承诺并保证:

                (1)遵守所有适用的法律法规,包括有关反洗钱和反恐怖主义融资的法律; 

                (2)您提供的、与使用交易服务相关的所有信息和材料均真实、合法和准确,且并非虚假的、具有欺骗性的或具有误导性的; 

                (3)不得将POPCUSTOMS平台的任何数据用作商业目的,包括但不限于在未经POPCUSTOMS平台事先书面同意的情况下,以复制、传播等任何方式使用POPCUSTOMS平台上展示的任何资料的; 

                (4)不得以任何方式删除、隐匿、改变POPCUSTOMS平台上显示或其中包含的涉及POPCUSTOMS平台任何专利、著作权、商标或其他权利的; 

                (5)不得利用在本平台注册的账户进行非法牟利性经营活动。 

        8.3 依法纳税是每一个公民、企业应尽的义务,您应自行承担可能对本协议项下交易或与之相关的任何税费(例如增值税、关税等)或其他政府收费。

        8.4 如您在POPCUSTOMS平台定制采购的产品为用于对外出口的商品,您承诺遵守所有适用的进出口管制、贸易限制与经济制裁相关法律法规;且确保您不是任何国家、地区或国际组织实施的贸易限制、经济制裁或其他法律法规限制的对象。如您违反前述承诺的,众潮科技可在发现上述情形时停止提供相关服务、主动执行关闭相关交易订单及作出账户注销等操作。

        8.5 违规行为

您不得进行以下违规行为,包括但不限于:恶意套取资金、批量注册、批量登录、批量签约、机器作弊、虚假交易、扰乱系统、实施网络攻击、使用小运营商手机号、盗用或冒用他人信息等)、其他不符合正常采购习惯的行为或者损害众潮科技、代理采购商、物流代理商、其他用户或任何第三方合法权益的行为等。否则,众潮科技自发现您上述行为之日起即有权直接取消您的活动资格,并暂停、限制您的一切众潮科技服务及其他服务活动(包括但不限于众潮科技账户注册、图片上传、产品设计、提交订单等),且有权撤销相关违规交易和奖励,必要时将追究您的法律责任。

 九、费用


        9.1 您使用众潮科技服务时,众潮科技有权向您收取服务费用。POPCUSTOMS平台已在相关页面公布不同的会员版本的服务费以及其他增值服务的服务费,您可以根据自身需求选择服务项目并支付服务费用。

        9.2 除POPCUSTOMS平台明示的收费业务外,众潮科技向您提供的其他服务是免费的。您理解并认可,根据国家法律法规变化及POPCUSTOMS平台运营需要,众潮科技有权调整服务手续费用收费标准。

        9.3 您因进行交易、向众潮科技获取有偿服务或接触众潮科技服务器而发生的所有应纳税赋,以及一切硬件、软件、通讯、网络服务及其他方面的费用均由您自行承担。

十、服务与协议终止

        10.1 您同意,众潮科技在以网站通知、电子邮件、短信息等形式依法提前通知您,并合理处置后续事宜基础上,有权终止您的账户、密码(或其任何部分)或您对POPCUSTOMS平台服务的使用。

        10.2 您同意,因您违反本协议约定,众潮科技依据POPCUSTOMS平台规则对您的账户予以关闭的,即使您的账户所购买会员服务期限未到期,众潮科技仍有权终止上述服务,并不退还您已支付的费用。

        10.3 您的账户终止后,众潮科技没有义务为您保留原账户中的电子信息,或提供任何未曾阅读或发送的信息给您或第三方。此外,您同意,众潮科技不会因终止向您提供服务而对您或任何第三者承担任何责任。

        10.4 您有权向众潮科技要求注销您的账户,经众潮科技审核同意的,众潮科技将注销您的账户,届时,您与众潮科技基于本协议的合同关系即终止。

        10.5 您理解并同意,您与众潮科技的协议终止后:

                (1)众潮科技有权继续保存您的任何资料; 

                (2)您在使用服务期间存在违法行为或违反本协议或平台规则的行为的,众潮科技仍可依据本协议向您主张权利; 

                (3)本协议终止后,对于您在本协议存续期间产生的交易订单,众潮科技可通知交易相对方并根据交易相对方的意愿决定是否终止该交易订单;如交易相对方要求继续履行的,则您应当就该等交易订单继续履行本协议及交易订单约定的义务,并承担因此产生的任何损失或增加的任何费用。 


十一、责任限制

        11.1 众潮科技依照法律规定履行基础保障义务,但对于下述不可抗力或其他第三人原因导致合同无法完全履行的,众潮科技不承担相应的违约责任:

                (1)因自然灾害、罢工、暴乱、战争、政府行为、司法行政命令等不可抗力因素造成的; 

                (2)第三方未经批准的使用您的账户或更改您的数据; 

                (3)因电力供应故障、通讯网络故障等公共服务因素或第三人因素造成的; 

                (4)因常规或紧急的设备与系统维护、设备与系统故障、网络信息与数据安全等因素造成的; 

                (5)由于黑客攻击、电信部门技术调整或故障、网站升级、银行方面问题等而造成的服务中断或者延迟; 

                (6)通过POPCUSTOMS平台购买或获取商品、服务等行为而产生的费用或损失; 

                (7)您对POPCUSTOMS平台服务的误解。 

        11.2 众潮科技有权对您上传的内容和图片设计进行内容审核(包括机器审核和人工审核)。倘若众潮科技认为您在平台上传或发布的资料和信息可能使众潮科技承担任何法律或道义上的责任,或可能使众潮科技全部或部分地失去互联网服务供应商或其他供应商的服务,则众潮科技可自行全权决定或根据国家权力机关的要求对您的资料或信息采取众潮科技认为必要或适当的任何行动,包括但不限于对您上传发布的资料和信息进行删除、屏蔽或断开链接、冻结您账户内的款项,要求代理采购商、物流代理商中止、终止对您提供部分或全部服务等措施;但您应当确认众潮科技并无义务去判断您的资料和信息是否存在任何侵权情形。若因您提供的相关信息存在损害他人合法权益的行为或被第三方追责的,您均应当以自己的名义独立承担所有的法律责任;且众潮科技有权根据权利人的要求,在其提供充分证据(包括但不限于权利证明、法律文书及其他政府机关相关文件)的前提下配合该权利人提交相关的证据/证明材料。

        11.3 您应充分认识并注意到,POPCUSTOMS平台虽然已经建立了相应平台规则,但仍无法控制或保证商品信息的真实性、合法性、准确性,不能控制或保证交易所涉及的物品的质量、安全或合法性,不能控制或保证相关交易各方履行在《委托代理协议》项下的各项义务的能力。对此您应谨慎判断,并自行承担责任;如您发现存在危害信息和行为,请您及时同众潮科技进行联系或向众潮科技投诉。

十二、违约和赔偿

        12.1 违约认定

发生如下情形之一的,视为您违约: 

                (1)您违反任何适用的法律、法规; 

                (2)您违反本协议(包括上述任何声明和保证)或本协议补充协议约定的; 

                (3)您侵犯任何第三方权利,包括但不限于任何隐私权、肖像权或知识产权等; 

                (4)您在平台上提交的任何图片、定制资料、素材引起任何索赔、要求或损失; 

                (5)因接受您的委托,而导致代理采购商被第三方提出的任何索赔、要求或遭受损失的; 

                (6)任何第三方利用您的账号、密码或校验码等身份验证信息访问和使用POPCUSTOMS平台服务。 

        12.2 赔偿责任

                (1)如因您的行为使众潮科技遭受损失(包括众潮科技的直接经济损失、商誉损失及众潮科技对外支付的赔偿金、和解款、律师费、诉讼费等间接经济损失),您应赔偿众潮科技的全部损失。 

                (2)如因您的行为使众潮科技被第三人主张权利,众潮科技可在对第三人承担责任后就全部损失向您追偿。 


十三、有效通知

        13.1 有效联系方式

您在注册成为POPCUSTOMS平台用户,并接受众潮科技服务时,您应该向众潮科技提供真实有效的联系方式(包括但不限于电子邮件地址、联系电话、联系地址等),对于联系方式发生变更的,您有义务及时更新有关信息,并保持可被有效联系的状态。您在注册POPCUSTOMS平台用户时生成的用于登录POPCUSTOMS平台接收站内信、系统消息等即时信息的用户账户,也作为您的有效联系方式。众潮科技将通过上述一种或多种联系方式向您送达各类通知,而此类通知的内容可能对您的权利义务产生重大的有利或不利影响,请您务必及时关注。 

        13.2 通知的送达

                13.2.1 众潮科技通过第13.1条的联系方式向您发出通知,其中以电子方式发出的书面通知,包括但不限于在POPCUSTOMS平台公告,向您提供的联系电话发送手机短信,向您提供的电子邮件地址发送电子邮件,向您的账户发送系统消息以及站内信,在发送成功后即视为送达;以纸质载体发出的书面通知,寄出通知后的第五个自然日即视为送达。 

                13.2.2 对于在POPCUSTOMS平台上因交易活动引起的任何纠纷,您同意司法机关(包括但不限于人民法院)可以通过手机短信、电子邮件等通讯方式或邮寄方式向您送达法律文书(包括但不限于诉讼文书)。您指定接收法律文书的手机号码、电子邮箱等联系方式为您在POPCUSTOMS平台注册时或更新时提供的手机号码、电子邮箱等联系方式,司法机关向上述联系方式发出法律文书即视为送达。您同意司法机关可采取以上一种或多种送达方式向您送达法律文书,送达时间以上述送达方式中最先送达的为准。您应当保证所提供的联系方式是准确有效的,并进行实时更新。如果因提供的联系方式有误、不详细,或不及时告知变更后的联系方式,使法律文书无法送达或未及时送达的,由您自行承担由此可能产生的法律后果。 


十四、法律适用、管辖及其他

        14.1 本协议之效力、解释、变更、执行与争议解决均适用中华人民共和国大陆地区法律;如无相关法律规定的,则应参照商业惯例或行业惯例。

        14.2 除双方另有约定外,您同意众潮科技因经营业务需要有权将本协议项下的权利义务就部分或全部进行转让,并提前以本协议约定的有效方式通知您。

        14.3 因本协议或POPCUSTOMS平台提供的服务所引起的任何争议,由众潮科技与您协商解决。协商不成时,任何一方均可向协议签订地有管辖权的人民法院提起诉讼。本协议签订地为中国福建省泉州市晋江市。

        14.4 众潮科技未行使本协议任何权利或规定,并不构成对该权利的放弃。倘若本协议任何条款被裁定为无效或不可强制执行,本协议的其余条款仍有效应予遵守和执行。

        14.5 您若认为POPCUSTOMS平台内容(包括但不限于平台用户发布的商品信息)侵犯您合法权益的,可以联系客服:【support@popcustoms.cn】进行投诉,我们将在收到您合格通知后依据相应的法律法规以及平台规则及时处理。

        14.6 本协议自2022年03月07日起生效。

Non-discrimination and equal opportunities

Compliance with sanctions, export controls, and other applicable laws

Partners will comply with the national laws of the country in which they’re conducting business, as well as local laws, regulations, or standards applicable to their business and the industry standards which have been established in their location. That includes compliance with all applicable laws, statutes, regulations, and codes relating to customs, export control, anti-boycott, and economic and financial sanctions laws and regulations, including economic and financial sanctions and trade embargoes imposed, administered, or enforced from time to time by relevant governmental authorities (“Sanctions”). Partners shall not be organized in or otherwise operate from countries or territories that are the target of Sanctions, and they shall not directly or indirectly export, re-export, or otherwise transfer any products, technology, or software furnished by POPCUSTOMS to any person, use, or location in violation of Sanctions. In the event of any conflict between the provisions of any of the preceding laws, regulations, or standards, and the provisions of this document, the provision containing the higher standards shall prevail

Environment

POPCUSTOMS always maintains a commitment to sound environmental programs and practices and encourages to reduce and recycle waste. Partners should have a precautionary action plan or an environmental management system in place to minimize the environmental impact of their operations.

Partners must comply with all applicable laws relating to the environment and dispose of hazardous and/or toxic materials in a controlled and safe manner.

Pollution prevention and resource reduction 

Waste of all types, including water and energy, are to be reduced or eliminated at the source or by practices such as modifying production, maintenance and facility processes, material substitution, conservation, recycling, and reusing materials. Partners should strive to substitute harsh and environmentally polluting chemicals with less impacting chemicals or enzymes.

Hazardous substances 

Chemicals and other materials posing a hazard, if released into the environment, shall be identified and managed to ensure their safe handling, movement, storage, recycling or reuse, and correct disposal.

Wastewater and solid waste 

Wastewater and solid waste generated from operations, industrial processes, and sanitation facilities are to be monitored, controlled, and treated as required per national law prior to discharge or disposal. Any discharge or disposal must take place with the national requirements regarding environment preservation.

Thank you for using POPCUSTOMS! Before using or accessing our platform, please read this Terms of Service (the “Terms of Service”) carefully. This document is a legally binding contract between POPCUSTOMS and you, the User (as defined below), for the use of the applications, software, products and services provided by POPCUSTOMS (collectively, the “Service”) and as such, we have tried to make it as clear as possible. In addition to the full legal terms and text, we have provided short non-binding summaries with each clause. These summaries do not aim to replace or misrepresent the full text.

A. Definitions

Summary: These terms are used throughout this Terms of Service and it’s important that you understand what we are referring to when we use them.

“Content” refers to content featured or displayed through the Website, including without limitation text, data, articles, images, photographs, graphics, software, applications, designs, features, and other materials that are available on the Website or otherwise available through the Service.

“Customers” refers to individuals or entities that purchase Your Products through a Sales Channel.

“Orders” refers to Your Products once they have been purchased by You or Your customers.

“Produced Orders” refers to Orders that have been completed and shipped.

“Products” refers to all products offered by different Providers on our Website including, but not limited to clothing, accessories, home decor, kitchenware, footwear and stationary.

“Factories” refers to the organizations and companies that POPCUSTOMS partners with in the scope of its Service to offer Products to You.

“Stores” refers to the other websites and platforms that You use to sell Your Products, including but not limited to Shopify, Woocommerce, Ebay, or Etsy, etc.

“Us” and “We” refers to POPCUSTOMS, Inc., as well as our affiliates, directors, subsidiaries, contractors, licensors, officers, agents, and employees.

“User,” “You,” “Your” refers to the individual person, company, or organization that has visited or is using the Website or Service; that accesses or uses any part of the account; or that directs the use of the account in the performance of its functions.

“Products” refers to Products created by Users adding Content using the Service.

“Mockups” or “Templates” are visual representations of Users’ Products created through the Service.

“User-Generated Content” is Content, written or otherwise that is created or uploaded by our Users.

“Website” refers to POPCUSTOMS’s website located at Popcustoms.com, and all content, services and products provided by POPCUSTOMS through the Website. It also includes POPCUSTOMS-owned subdomains of Popcustoms.com, such as app.Popcustoms.com, POPCUSTOMSapp.com and all subdomains of POPCUSTOMSapp.com such as app.POPCUSTOMSapp.com, and the use of future and current POPCUSTOMS plugins, such as those available in the Shopify App store, Woocommerce, Etsy,. Occasionally, POPCUSTOMS plugin pages and websites owned by POPCUSTOMS may provide additional or different terms of service. If those additional terms conflict with these Terms of Service, the terms in the additional terms with regard to the matter in conflict shall apply.

“Your Content” is Content that you create or own.

POPCUSTOMS reserves the right to revise the Terms of Service from time to time and the most current version will always be posted on our Website. If a revision, in our sole discretion, is material we will notify You. The “Last Updated” date at the top of the Terms of Service reflects the date of the last modification. Your use of the Service following the effective date of any modifications to the Terms of Service will constitute your acceptance of such modification. If You do not agree to the new Terms of Service, You should stop using the Service and cancel Your account.

E. What Is the Scope of POPCUSTOMS‘s Services?

Summary: POPCUSTOMS is an online platform that allows you to create and connect your store to sell products with your content by working with various Print on Demand Providers from around the world. You focus on creating and selling, we handle the rest.

POPCUSTOMS is an online marketplace for print on demand/embroider on demand dropshipping and public designs on demand . We partner with various Providers to offer You Products that You can customize with Your Content and sell to Customers. We also maintain and create integrations with different Sales Channels so that Your Products can be easily published to your Stores. When Your Products are purchased by Customers through a Sales Channel, We are notified and We start working with factories print and deliver Your Products to the Customers.

Summary: POPCUSTOMS is not only a platform, we are also a factory supply chain to sell products with high quality and best prices .

POPCUSTOMS has control over and does guarantee the final quality of Your Product. And we make any promises that Your Product will look like Your Mockup.

Due to the nature of the Internet, POPCUSTOMS cannot guarantee uninterrupted access and availability of the POPCUSTOMS Service. We reserve the right to restrict the availability of our Service or certain features if necessary in view of capacity limits or the integrity of our servers. We also reserve the right to restrict access when performing maintenance measures to ensure the proper working and functioning of the POPCUSTOMS Service. POPCUSTOMS can improve or modify its Service and may introduce new offerings from time to time.

Summary: POPCUSTOMS guarantee that our website will be online 100% of the time.Just due to the nature of product development and the Internet, our website may have periodic downtimes.

F. Who Can Access POPCUSTOMS and Use the Service?

Summary: You have to be at least 18 years old to use our service and if you are signing up on behalf of someone else, you are acknowledging that you have the right to do so. Certain features of our platform may have additional terms other than those here.

You must be at least 18 years old and able to access and use the Service or to create a POPCUSTOMS account. By accessing and using our Service, you represent and warrant that you are 18 years of age or older and have the legal capacity and authority to enter into a contract.

If you open an account on behalf of a company, organization, or other entity, then “You” includes you and that entity, and You represent and warrant that You are authorized to grant all permissions and licenses provided in this Terms of Service and bind the entity to these Terms of Service, and that you agree to these Terms of Service on the entity’s behalf.

The access to or use of certain areas and features of the Service may be subject to separate policies, standards or guidelines, or may require that you accept additional terms and conditions. If there is a conflict between these Terms of Service and the terms and conditions applicable to a specific area or feature of the POPCUSTOMS Service, the more specific terms and conditions will apply, unless specified otherwise.

To use our Service, You have to register an account. Details on how to do so are provided in the next section.

You understand and agree that You are responsible for paying any and all applicable taxes that may be due as a result of your use of the Service.

G. What Are the Rules for Creating and Maintaining an Account?

Summary: We have certain requirements that you must abide by when you create an account with Us.

To create a POPCUSTOMS Account You may be required to provide POPCUSTOMS with certain personal information, which may include your full legal name, current address, phone number, email address, and payment information. This information will be held and used in accordance with POPCUSTOMS’s Privacy Policy. You agree that You will supply accurate and complete information to POPCUSTOMS, and that You will update that information promptly after it changes. You further agree that:

You shall not create an account or access the Service if You are under the age of 18;

You shall not have more than one account at any given time, and shall not create an account using a false identity or information, or on behalf of someone other than yourself or your entity, which has provided you authorization to create the account on behalf of it;

You shall not have an account or use the Service if You have been previously removed by the Company;

We may reject your registration or cancel an existing registration for any reason at our sole discretion;

We will use the email address you provide as the primary method of communication.

Any harassment or insult towards POPCUSTOMS employees may result in immediate account termination.

You are solely responsible for keeping your account credentials secure and you may not disclose your credentials to any third party. You must immediately notify POPCUSTOMS if you have any reason to suspect that your credentials have been compromised, lost or stolen or in the case of any actual or suspected unauthorized use of your POPCUSTOMS Account. You are solely responsible for any and all activities performed through your POPCUSTOMS account. POPCUSTOMS will not be liable for any loss that You may incur as a result of someone else using Your username or password, either with or without Your knowledge. To the extent allowable by law, you shall be liable for any expenses and reasonable attorney’s fees for your failure to safeguard user and password information and/or promptly notify the Company about unauthorized use of your account or breach of your account information or password.

POPCUSTOMS expressly disclaims any and all liability arising from revocation, cancellation, or suspension of your account for any reason. Your account and registration will terminate immediately upon your breach of any of the terms herein. You may terminate your account and participation as a registered user at any time from your Account Settings > Personal Data > Delete my data. Before proceeding with deleting your account, make sure that you have disconnected your store from the respective sales channels, unsubscribed from the business plan and removed your registered credit card. Deleting your account is irreversible and you will not be able to access the data afterwards. Nonetheless, you will still be responsible for any and all pending orders and charges.

H. What Are Your Rights to Content on POPCUSTOMS?

Summary: All content you upload is owned by you. If we are notified or if we believe that the content is not yours, or if the content doesn’t meet our standards, we will remove it at our discretion. By uploading content to POPCUSTOMS, you allow us to use your content for things like marketing and education of POPCUSTOMS users.

POPCUSTOMS grants You a limited, revocable, non-exclusive, non-transferable license to access and use the Service for Your own individual use subject to the other terms of this Terms of Service. All rights, title, and interest in and to the Service not expressly granted herein are reserved by the Company.

POPCUSTOMS allows You to upload and post Content to our Website. Anything that You put on the Products remains Your Content. You retain all rights in, other than the rights expressly granted to POPCUSTOMS below and any that you may grant to your Customers, and are solely responsible for Your Content.

You can only post Content that is either Yours, or for which you have written authorization from the Content owner. You represent and warrant that any Content you post is owned by You or that You have authorization from the Content owner to post it.  More detailed information can be found in the POPCUSTOMS Intellectual Property Policy. By posting Content, You accept those terms as well.  If You believe that someone has improperly used Your copyrights or trademarks, please report it to us as set forth in the Intellectual Property Policy.

By using the POPCUSTOMS Service, You grant POPCUSTOMS a non-exclusive, transferable, sublicensable, royalty-free, and worldwide license to use, store, display, reproduce, save, modify, create derivative works, perform and distribute Your Content solely for the purpose of operating, developing, and promoting the PopCustoms Service.

As a condition of use of the Service, You agree not to use the Service for any purpose that is prohibited by these Terms of Service. You are responsible for all of your activity in connection with the Service and you shall abide by all local, state, national, and international laws and regulations and any applicable regulatory codes. You agree to the following:

You may not resell, rent, lease, loan, sublicense, distribute, or otherwise transfer rights to the Service.

You may not modify, reverse engineer, decompile or disassemble the Service.

You may not copy, adapt, alter, modify, translate, or create derivative works of the Service without written authorization of POPCUSTOMS.

You may not permit other individuals to use the Service, including but not limited to shared use via a network connection, except under these Terms of Service.

You may not circumvent or disable any technological features or measures in the services that are designed for protection of intellectual property rights.

You may not use the Service in an attempt to, or in conjunction with, any device, program, or service designed to circumvent technological measures employed to control access to, or the rights in, a content file or other work protected by the copyright laws of any jurisdiction.

You may not use or access the Service to compile data in a manner that is used or usable by a competitive product or service.

You shall not use your Account to advertise, solicit, or transmit any commercial advertisements, including chain letters, junk e-mail or repetitive messages to anyone.

You shall not use your Account to engage in any illegal conduct.

You shall monitor your Account to restrict use by minors, and You will deny access to children under the age of 13. You accept full responsibility for any unauthorized use of the Service by minors in connection with your Account and You are responsible for any use of your credit card or other payment instrument by minors.

You shall not use the Service to order and resell blank Products without customizing them with your artwork.

Any such forbidden use shall immediately terminate Your license to the Service.

POPCUSTOMS may use its discretion to remove Your Content from our Service, at any time, with or without prior notice to you, if it violates any of our Terms of Service or policies or is reported to be infringing on intellectual property rights of others. POPCUSTOMS is not obligated to monitor or police Your Content. In addition to intellectual property concerns, Content that contains any of the below is prohibited and may also lead to termination of Your account.

Child Exploitation: You may not post or upload Content that exploits or abuses children, including but not limited to images or depictions of child abuse or sexual abuse, or that presents children in a sexual manner.

Harassment, Bullying, Defamation and Threats: You may not post or upload Content that harasses, bullies, defames or threatens a specific individual.

Hateful Content: You may not post or upload Content that condones or promotes violence against people based on race, ethnicity, color, national origin, religion, age, gender, sexual orientation, disability, medical condition or veteran status.

Illegal Activities: You may not post or upload Content that facilitates or promotes activities that go against the laws of the jurisdictions in which you operate or do business.

Intellectual Property: You may not post or upload Content that infringes on the copyright or trademarks of others.

Personal and Confidential Information: You may not post or upload any Content that contains personally identifiable information sensitive personal information, or confidential information, such as credit card numbers, confidential national ID numbers, or account passwords unless you have consent from the person to whom the information belongs or who is otherwise authorized to provide such consent.

Self-Harm: You may not post or upload Content that promotes self-harm.

Terrorist Organizations: You may not post or upload Content that implies or promotes support or funding of, or membership in, a terrorist organization.

When You use the Service, POPCUSTOMS reserves the right to view, monitor, and record activity without notice or further permission from You, to the fullest extent permitted by applicable law, although we have no obligation to do so. Any information obtained by monitoring, reviewing, or recording is subject to review by law enforcement organizations in connection with the investigation or prosecution of possible criminal activity involving use of the Service.

I. How Do Payments Work on POPCUSTOMS?

Summary: POPCUSTOMS will only charge you fees if you subscribe to a POPCUSTOMS Membership Premium Plan. No products are produced or shipped unless payment for those products has first been received via credit/debit, or from an existing POPCUSTOMS balance. Users have the option to change settings for when and how often they are charged. You cannot withdraw “points” or “coupons” or ” discounts”.

Unless Users subscribe to the POPCUSTOMS Membership Premium Plan, there are no fees or charges for the platform itself.

To order samples of Your Products or to fulfill any Customer Orders, You must pay for the Order in advance. The price You pay will be the price of the Product plus shipping and taxes (if applicable). These prices can be found in the POPCUSTOMS Catalog and on our Shipping Rates page. Orders will not be processed until payment has been received by POPCUSTOMS.

POPCUSTOMS cannot pull funds that You may have available in any Sales Channel. In order to process payments on POPCUSTOMS, You need to either have a Credit or Debit card on file or connect POPCUSTOMS to your PayPal/Payoneer/ Bank account. By default, POPCUSTOMS will charge funds for Orders from an existing POPCUSTOMS balance first, and if there is a remaining balance due then POPCUSTOMS will charge any saved Credit or Debit cards.

POPCUSTOMS charges Users when Orders are sent to production. Users have the option to change their settings to adjust how often Orders are sent to production and whether POPCUSTOMS charges per Order or for multiple Orders together. These settings can be found here, after You create an account and connect a Sales Channel.

POPCUSTOMS may issue a coupon. A coupon is virtual money that can be used for paying for manual and sample orders. You may use a coupon only for a single order. Multiple coupons cannot be combined. Each coupon’s value is divided according to the total line items in the order. It cannot be converted to cash or withdrawn.

If you have an issue with your order, contact POPCUSTOMS before disputing your claim with your credit card company. If you have filed a dispute with your credit card company, we will not be able to issue you a refund as well, and we cannot make any refunds or replacements until the dispute is resolved or cancelled. If there are Order issues and after an investigation POPCUSTOMS offers you a refund, this will be provided in the form of a POPCUSTOMS credit and will appear in your POPCUSTOMS balance.

Once a user withdraws funds from POPCUSTOMS balance it will be sent to the same payment source where it initially came from, whether it is a credit/debit card or a PayPal account. If a top-up is made via PayPal, withdrawal can only be made to the same PayPal account. In case the initial payment was made with a card, the POPCUSTOMS balance withdrawal will take place in the form of a credit/debit card full or partial refund. Subscription bonus provided to subscribers of the POPCUSTOMS Premium Plan will not be able to be withdrawn.

Users are responsible for paying any necessary sales tax on their transactions. Because of the nature of dropshipping businesses, taxes differ depending on who produces or sells the Product, and where it is delivered. POPCUSTOMS recommends that You consult with an outside tax accountant.

European Union (EU) regulations require POPCUSTOMS to collect Value Added Tax (“VAT”) on all orders produced and shipped within the EU. Users with businesses registered with the EU may apply for a VAT Exemption if the Users have a valid VAT number. If you qualify for a VAT exemption, contact POPCUSTOMS Merchant Support with your VAT number and business details and we will apply the exemption in our system.

J. How Does POPCUSTOMS Handle Order Related Issues?

Summary: If you have an issue with your order, contact POPCUSTOMS directly within 30 days of product delivery and provide a detailed description of your issue, accompanied by relevant photo or video evidence that support your case. After investigation, we will determine if you are eligible to receive a replacement at no cost to you. Some issues do not qualify for replacement, they are outlined below.

K. Embroidery

Summary: Embroidery is not like other print on demand methods and to avoid issues and complications, you must follow our embroidery guide closely.

All designs for embroidery products must conform to the guidelines found in our Embroidery Design Guide.

Images that do not meet guidelines, may be edited by our Print Partners during the digitization process to become eligible for embroidery. The final embroidered image may differ from your submitted artwork. In these situations, you are not eligible for replacements or refunds for those items.

All images submitted for embroidery for the first time will have a 24-48hour digitization period. If there are multiple items in that order, the whole order will be delayed.

L. Can You Use POPCUSTOMS‘s Image and Name?

Summary: We take intellectual property rights seriously and we kindly ask you to respect ours.

POPCUSTOMS, Popcustoms.com, POPCUSTOMSsapp.com, and other POPCUSTOMS graphics, logos, designs, page headers, button icons, scripts and service names are registered trademarks, or trade dress of POPCUSTOMS that may not be used in connection with any Product or service without the prior written consent of POPCUSTOMS. The images and icons available in our brand and press kit may be used by partners and third party sites as long as the appropriate links to the POPCUSTOMS Website are included. POPCUSTOMS reserves the right to request removal of Your use of the images and icons at any time.

M. Limitation of Liability

Summary: We are not responsible for any losses you incur as a result of using our service. We are not responsible if you break the law or breach this agreement and are sued as a result. Please read this section carefully; it limits our obligation and responsibilities to you.

Limitation of Liability. IN NO EVENT SHALL POPCUSTOMS, ITS OFFICER, DIRECTORS, AGENTS, AFFILIATES, EMPLOYEES, ADVERTISES, OR PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES INCLUDING, BUT NOT LIMITED TO, LOSS OF USE, LOSS OF PROFITS, OR LOSS OF DATA, WHETHER IN AN ACTION IN CONTRACT, TORT (INCLUDING BUT NOT LIMITED TO NEGLIGENCE), EQUITY OR OTHERWISE, OR FOR DAMAGES IN THE AGGREGATE EXCEEDING THE AMOUNT OF THE FEES PAID AND PAYABLE BY YOU TO PopCustoms OR $100.00 (WHICHEVER IS MORE), ARISING OUT OF OR IN ANY WAY CONNECTED WITH THE USE OF THIS SERVICE. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

N. What if I Have Legal Issues with POPCUSTOMS?

Summary: If you have legal issues with POPCUSTOMS, you agree to talk to us first, and if we can’t resolve the situation together, we will follow professional procedures for arbitration. If the issue isn’t arbitrable, all legal issues will be handled in the State of Delaware.

If a dispute arises from or relates to these Terms of Service, You agree to first contact POPCUSTOMS Merchant Support to attempt to resolve the issue. If the dispute cannot be settled through direct discussions, the parties agree to endeavor first to settle the dispute by mediation administered by the American Arbitration Association under its Commercial Mediation Procedures before resorting to arbitration. The parties further agree that any unresolved controversy or claim arising out of or relating to the Terms of Service shall be settled by arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules and judgment on the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof.

To the extent any claim, dispute or controversy regarding POPCUSTOMS or our Service isn’t arbitrable under applicable laws or otherwise, You and POPCUSTOMS both agree that any claim or dispute regarding POPCUSTOMS will be resolved exclusively in accordance with Clause N.3 of these Terms of Service.

These Terms of Service shall be governed by the laws of the Country of USA/ CN, without respect to its conflict of laws principles. You agree to submit to the personal jurisdiction of the United States District Court.

O. POPCUSTOMS Membership Premium Plan

Summary: POPCUSTOMS has a yearly subscription plan that offers upgraded functions and services and discounts on all products. If you block the account and will stop the plan. And if you want to out you have to cancel, before the renewal date.

Recurring Subscription

By subscribing to the POPCUSTOMS Premium Plan, you will receive discounts of up to 20% on all POPCUSTOMS products and the subscription will continue month-to-month or year-to-year until cancellation or termination. You must cancel your subscription before it renews each month/year in order to avoid billing for the next subscription period.

Billing

By starting your subscription, you authorize us to charge you a full subscription fee. You authorize us to charge your payment card for these amounts.

POPCUSTOMS  reserves the right to adjust pricing for our service or any components thereof in any manner and at any time as we may determine in sole and absolute discretion. Any price changes to your service will take effect following a notice by email to you.

You will be charged for the subscription fee immediately and the charges will auto-renew every month for every year for yearly subscriptions unless you cancel the subscription.

We automatically charge your payment card every month or every  year on the calendar day corresponding to the commencement of your subscription.

Cancellation

SUBSCRIPTION FEE CHARGES ARE NON-REFUNDABLE AND THERE ARE NO REFUNDS OR CREDIT FOR PARTIALLY USED SUBSCRIPTION PERIODS. After a cancellation, you will continue to have access to the discounts throughout the end of your billing cycle.

鉴于:

    1.POPCUSTOMS平台是一家专注为平台注册用户提供个性化产品定制及相关服务的互联网平台。代理采购商为POPCUSTOMS平台的战略合作方,拟接受您的委托,为您代为采购定制产品及配套物流服务。

    2.您应审慎阅读、充分理解各条款内容,特别是免除或者限制责任的条款、法律适用和争议解决条款以及其他字体加粗以提示您注意的条款。

    3.当您按照POPCUSTOMS平台的页面提示阅读并点击同意按钮,或以任何方式进入POPCUSTOMS平台并使用服务即表示您已充分阅读、理解并同意接受本协议。若您不同意本协议的任何内容,或者无法准确理解相关条款的解释,请立即停止注册程序、注销用户并停止使用服务。

 

第1定义

    除另有说明外,下列用语在本协议中使用时具有如下的含义:

    1.1 “日”或”天”:除明确为工作日或其他情况以外,均指一个日历天。

    1.2 “定制资料”:指您通过POPCUSTOMS平台上传/编辑的个性化产品需求信息,如图片、图案、文字、标识等。

第2委托代理服务内容

    您委托代理采购商代为采购定制产品,代理采购商接受委托并根据您的要求(如您提供的图案、文字、款式等)代为采购含有定制资料的产品。

    2.1 产品定制服务

        2.1.1 采购标准

        (1)您在POPCUSTOMS平台成功提交并付款成功的订单为采购依据及标准,订单信息包括您提交的定制产品数量以及定制产品详情(含您在POPCUSTOMS平台上传及/或使用的用于产品设计定制的图片、图案以及定制产品的品类、材质、尺码、包装规格、生产工艺等)。

        (2)为实现本协议之目的,您提供的定制资料将用于生产、加工、销售等。

        (3)代理采购商代为采购的产品必须符合法律、行政法规、行业标准或规范等有关质量标准及环保要求等规定。

        2.1.2 交货

        (1)POPCUSTOMS平台展示的产品交付时间仅为参考时效,不构成POPCUSTOMS平台或代理采购商的任何承诺、声明、保证或义务。您同意您在POPCUSTOMS平台的订单的具体”交货时间”,按照如下方式认定:

        1)您指定的物流承运商官网系统内显示有物流记录的,以该物流记录显示的上门揽收时间为准;

        2)您指定的物流承运商,尚不具有系统记录条件的,按其提供承运面单上填写的承运起始日期;

        (2)产品所有权及风险转移:在物流服务商上门揽收成功后产品所有权及风险由代理采购商转移至您。

        (3)产品交付物流后,收货人有及时收货的义务。收货人可以本人签收商品或委托他人代为签收商品,被委托人签收视为收货人本人签收。您指定的物流服务商将商品送达至收货人地址,经收货人或收货人指定的委托人签收即视为商品送达。

        (4)您在订单中只填写了收货地址,但没有填写收货人或填写的收货人信息不特定,商品在收货地址被签收的,视为您本人签收,您无权要求退还相应货款。

        2.1.3 验货

        (1)代理采购商代为采购的产品应符合法律、行政法规或行业标准规定的强制性标准及您提交的有效订单中描述的产品定制要求,否则您有权通过POPCUSTOMS平台提出售后申请。经POPCUSTOMS平台依据本协议、平台规则等判定,定制产品确存在属于平台售后范围内问题的,POPCUSTOMS平台将根据平台售后规则进行处理。您表示定制商品存在质量问题或描述不符问题的,需向POPCUSTOMS平台提供有效证据证明。

        (2)若双方对产品质量是否符合法律、行政法规或行业标准规定存在争议的,双方均可委托代理采购商所在地的第三方检测机构对产品进行检测,并依据检测结果确定代理采购商采购的产品是否合格,检测费用由责任方承担。

        (3)您或收货人应当在签收商品时进行验收。本条所称”表面一致”,是指凭肉眼即可判断所收到的商品表面状况良好且与网上描述相符,表面一致的判断范围包括:商品的图案、大小、数量、重量。

        (4)您表示收到的定制商品与之前约定存在不一致时,需要提供相应产品图片记录等有效证据材料。若您提供有效凭证证明签收时既已存在表面不一致情形的,可通过POPCUSTOMS平台提出售后申请;若您提交的证据无法证明存在不一致的,平台有权拒绝您提出的售后申请。

        (5)若代理采购商已履行了发货义务,收货人无正当理由拒绝签收商品的,您需负责处置该商品并承担商品毁损、灭失的风险,由此产生的发货及退货运输费用、进出口关税、保管费、手续费等费用由您承担;若因您怠于处置商品的,所产生的额外运费、保管费等费用由您承担。

        2.1.4 售后服务

        鉴于您委托代理采购商代为采购的是定制产品,除双方另有约定外,不适用”七天无理由退货”的规定。具体售后服务细则详见POPCUSTOMS平台《产品售后政策》。

        2.1.5 订单

        (1)您在POPCUSTOMS平台下订单时,需确认所购产品的名称、价格、数量、型号、规格、尺寸、联系地址、电话、收货人等信息准确、无误。

        (2)您在POPCUSTOMS平台下订单并且订单状态为”等待提交”时,可修改订单的收货地址、物流方式,有效订单内容以最后一次修改记录为准。

    2.2 物流服务

        2.2.1 代理采购商接受您的委托,代您向您选定的物流服务商采购商品物流服务,由物流服务商将商品运输至您指定的收货人处,相关商品运输费用、税费及附加服务费等由您承担,运输费用、税费及附加服务费等的计费标准以POPCUSTOMS平台所公示的对应物流商说明为准。此外,如在商品运输过程中额外产生费用,如关税、增值税、偏远地区附加费、变更地址附加费、材积费等,也应由您承担,如您未及时支付的,代理采购商有权委托POPCUSTOMS平台从您的平台账户中进行代扣,平台账户余额不足以支付的,您应及时履行支付义务。

        2.2.2 商品运输需要办理通关出入境手续、检验手续等手续的,需要您协助配合;若您怠于或拒绝提供协助导致商品无法办理通关手续的,由此可能产生的通关滞货费用(如额外运费、相应仓储、保管费等)及商品毁损、灭失等风险均由您承担。

        2.2.3 因不可抗力、物流服务商或您的原因(包括但不限于您没有如实填写订单信息,您委托采购的商品属于法律法规明文规定及本协议约定禁止运输或限制运输的,您或收货人迟延收货等情形),导致商品发生损毁、丢失的、延误派送、无法派送的,代理采购商不承担责任。

        2.2.4 更多物流服务说明详见POPCUSTOMS平台《平台代发物流说明》及平台公开展示的各家物流商说明。

 

第3费用支付和结算

    3.1 除本协议另有约定外,您采购产品的价格以POPCUSTOMS平台上展示的最终有效订单显示的价格为准,您应按照订单显示的产品价格和物流费用向代理采购商支付款项。订单页面所显示的物流费用是根据您所采购的产品重量和您选择的物流运输方式计算所得。

    3.2 付款方式:您可选择在线支付或银行转账等方式。具体支付步骤和支付时效以实际下单时POPCUSTOMS平台页面显示的为准。

 

第4承诺与声明

    您确认、声明并承诺:

        (1)您签署及履行本协议符合法律法规和行政规定。若您为自然人,您应当具备中华人民共和国法律规定的与您行为相适应的民事行为能力;若您代表公司法人,应符合您公司章程或内部组织文件的规定,且已获得公司内部有权机构的批准。

        (2)您不得委托代理采购商代为采购、加工、生产或运输违反《POPCUSTOMS平台用户服务协议》第4.2.3条规定的产品。

        (3)您对您所上传的图片、在线完成设计的图片、图案、设计图等定制资料均享有合法权利(包括但不限于著作权、商标、外观设计等合法知识产权或上述权利的合法授权),并且您有权授权或转授权您指定的生产商将您上传的图片、在线完成设计的图片等定制资料用于产品印刷、加工、生产等。代理采购商及您指定的生产商不会对您上传的图片、在线设计的图片的使用作出任何明示或默示的权利保证。

        (4)代理采购商以及您指定的生产商因接受您的委托而使用定制资料进行生产、加工、运输等行为不会违反任何法律或侵犯任何第三方的任何权利,包括但不限于任何知识产权、隐私权、肖像权和商标权等。

        (5)代理采购商按照订单内容代为采购产品而使用您提供的定制资料等,不承担根据任何集体谈判协议或其他协议支付任何会费、剩余报酬、款项、费用或作品使用费的责任。

        (6)目前没有任何尚未了结或可能提出的诉讼、索赔或其他法律或行政程序可能会直接或间接影响您指定的生产商行使您授予的权利。

        (7)如果您提供的定制资料以任何方式包含或纳入了任何组件,包括但不限于包含在设计程序中的设计元素、字体、剪贴画、子画面、矢量图或画笔工具等,那么将任何此类图片上传到POPCUSTOMS平台并委托代理采购商代为采购的,即表示您已获得合法有效的许可允许其将这些元素纳入其创建的图片设计中,以及允许您出于本协议约定的目的,将此类图片无偿授权许可给其指定的生产商在本协议约定的用途范围内使用。

        (8)您在POPCUSTOMS平台进行设计并下订单时,上传至POPCUSTOMS平台并委托代理采购商代为采购商品的图片,您必须保证图片的清晰度、完整性、分辨率等符合生产商关于该类产品的要求;如您提供的图片无法达到生产工艺要求,导致成品出现问题的,您应承担相应不利后果。

        (9)您在POPCUSTOMS平台进行设计并下订单时,上传至POPCUSTOMS平台并委托代理采购商代为采购商品的图片,您必须保证图片的清晰度、完整性、分辨率等符合生产商关于该类产品的要求;如您提供的图片无法达到生产工艺要求,导致成品出现问题的,您应承担相应不利后果。

        (10)您需确保委托代理采购商代为采购定制的商品符合商品出入境的相关法律法规。若商品因违反出入境相关法律法规导致被监管部门(如海关)没收、扣押或采取其他强制措施的,相应出境风险、货物毁损灭失风险及额外费用等由您承担,因此造成代理采购商损失的,您应承担赔偿责任。

 

第5您的权利和义务

    5.1 您应依据本协议约定的结算方式和支付方式向代理采购商支付合同款项。

    5.2 您有义务向代理采购商提供填写物流订单所需信息(包括但不限于:准确的收货人信息、地址、品名、规格、数量、申报价值、包装、件数等),您在提供收货人信息时,可以选择本人或者他人作为收货人。您选择他人作为收货人,该收货人违反本协议约定义务的,由您承担相应责任。

    5.3 因您填写的收货地址和(或)收货人信息不准确,导致发货后商品无法送达的,商品发货及退货运费、进出口关税、保管费等由您承担。

    5.4 如因您的行为(包括但不限于履约行为)而导致代理采购商被第三人主张权利的,代理采购商在对第三人承担责任后有权就全部损失向您追偿,您需赔偿因此造成代理采购商的全部损失。

 

第6代理采购商的权利和义务

    6.1 代理采购商接受您委托,代为采购包含您个性化需求信息的产品且代为采购物流运输服务。代理采购商有权按照本协议约定向您收取货款及物流费用等。

    6.2 如您提供的订单中任何内容或信息(如定制资料等)违反法律法规、本协议及POPCUSTOMS平台规则,代理采购商有权取消订单或拒绝服务,因此造成的一切损失和责任由您承担。

    6.3 经您要求,代理采购商可向您开具与您已付货款等额的合法、有效的增值税发票。

 

第7违约责任

    若您违反本协议约定,代理采购商有权中止履行本协议且要求您承担违约责任,因此造成代理采购商损失的,代理采购商仍有权向您追偿全部损失。

 

第8不可抗力

    8.1 如果本协议任何一方因战争、火灾、洪水、地震、政府行为或其它不可抗力原因而无法履行本协议约定义务的,双方友好协商进行解决。因不可抗力而导致无法履行本协议约定义务的,双方无需承担违约责任。

    8.2 如因不可抗力或其它POPCUSTOMS平台无法控制的原因使POPCUSTOMS平台系统崩溃或无法正常使用导致网上交易无法完成或丢失有关的信息、记录等,代理采购商会尽可能合理地协助处理善后事宜,若因此造成您损失的,由您自行承担。

 

第9通知

    9.1 您同意代理采购商依照《POPCUSTOMS平台用户服务协议》第十三条的方式向您发出通知。

    9.2 任一方因发生公司合并或分立,或发生与本协议有关之业务的权利、义务主体转移等事宜时,应按照前述规定及时通知对方。除非双方另有约定,否则该方与其相关权利义务变更方连带承担本协议之义务。

 

第10签约流程

    您按照POPCUSTOMS平台页面提示完成操作后,即表示您已充分阅读、理解并接受本协议的全部内容。阅读本协议的过程中,如果您不同意本协议或其中任何条款约定,应立即停止签约流程。

 

第11协议变更

    代理采购商可能根据国家法律法规变化、业务调整等需要对协议内容进行变更,变更后的协议内容将更符合业务实际及更好的保障双方权益,变更后的协议将在POPCUSTOMS平台上进行公示。如您不同意变更内容,应于变更内容确定的生效日前联系平台客服并立即停止使用相关服务。如您于变更内容确定的生效日后仍继续使用相关服务的,视为您已同意接受变更后的协议内容。

 

第12协议解除

    12.1 若您违反本协议约定,代理采购商有权解除本协议且无需因解除协议承担违约责任,因协议解除造成代理采购商损失的,代理采购商有权向您进行追偿。

    12.2 若代理采购商因接受您委托或因履行本协议约定义务而被第三人主张权利或被国家主管部门处罚的,代理采购商有权解除本协议且无需因解除协议而承担违约责任,因此造成代理采购商损失的,代理采购商有权向您进行追偿。

    12.3 代理采购商在提前【3】日书面通知您后可解除本协议,代理采购商无需因解除协议而承担违约责任,自解除合同的通知成功送达您之日起,本协议效力终止。

 

第13其他条款

    13.1本协议未尽事宜,以《POPCUSTOMS平台用户服务协议》为准,其他未尽事宜适用中华人民共和国大陆地区法律。

    13.2本协议自2022年03月01日起生效。

一、定义及适用范围

    1.1 定义

        1.1.1 个人信息:指以电子或者其他方式记录的与已识别或者可识别的自然人有关的各种信息,不包括匿名化处理后的信息。

        1.1.2 个人敏感信息:指一旦泄露或者非法使用,容易导致自然人的人格尊严受到侵害或者人身、财产安全受到危害的个人信息,包括生物识别、宗教信仰、特定身份、医疗健康、金融账户、行踪轨迹等信息,以及不满十四周岁未成年人的个人信息。

        1.1.3 个人信息删除:指在平台系统中去除个人信息的行为,使其保持不可被检索、访问的状态。

        1.1.4 服务日志信息:指您在访问及/或使用我们服务过程中,我们自动收集和记录的您的详细使用情况,包括浏览记录、点击查看记录、搜索查询记录、添加至购物车、交易、售后以及IP地址、浏览器类型、运营商、使用语言、访问日期和时间。

        1.1.5 设备信息:指您在访问及/或使用我们服务过程中,我们接收并记录您所使用的设备相关信息(包括设备型号、操作系统版本等软硬件特征信息)。除另有约定外,本政策所用定义与《POPCUSTOMS平台用户服务协议》中的定义具有相同的涵义。

    1.2 适用范围

        本政策适用于平台以PC端网站、移动端网站、APP以及随技术发展可能出现的新形态向您提供的各项产品与/或服务。

二、我们如何收集和使用您的信息

        为向您提供我们的产品与/或服务,您须授权我们收集和使用与其相关的必要信息,如您拒绝提供前述信息,您将可能无法正常使用我们的产品与/或服务。

    2.1 我们收集和使用您的信息主要用于为您提供下列各项服务:

        2.1.1 帮助您成为我们的会员及账户管理

        (1)账号创建:我们基于POPCUSTOMS平台账户为您提供产品与/或服务。为创建平台帐号,您需向我们提供手机号码、拟使用的用户名和密码。

        (2)实名认证:您可以根据认证要求提供相应的身份信息以完成实名认证。如您的账户为个人账户,您需提供的信息包括姓名及身份证号码;如您的账户为企业账户,您需提供的信息为企业及法定代表人的相关信息(包括企业名称、统一信用代码、法定代表人姓名及身份证号码等信息)。

        (3)授权登录:我们可能会根据您的授权从第三方获取您的第三方账户头像及昵称,并与您的平台账户进行绑定,使您可以便捷地从第三方处直接注册或登录平台账户。

        2.1.2 为您提供保存与加购功能

        在您使用我们服务的过程中,您可以将您设计的产品进行保存,也可以将您设计的产品添加至购物车。在您使用上述功能的过程中,我们会收集您的保存及添加购物车的记录等服务日志信息用于实现上述功能及其他我们明确告知的目的。

        2.1.3 帮助您完成下单及订单管理

        (1)当您使用我们的产品与/或服务在平台上定制具体商品时,我们会通过系统为您生成定制该商品的订单。在下单过程中您需至少提供您的收货人姓名、收货地址、收货人联系电话。

        (2)除前述信息外订单中还会载明您所定制的商品信息、具体订单号、订单创建时间、您应支付的金额、您的备注信息。我们收集这些信息是为了帮助您顺利完成交易、保障您的交易安全、便于您查询或管理订单信息、提供客服与售后服务及其他我们明确告知的目的。

        2.1.4 帮助您完成支付

        在您下单后,您可以选择与平台合作的第三方支付机构所提供的支付服务。支付功能本身并不收集您的个人信息,但我们需要将您的订单交易编号与交易金额在内的支付必要信息与这些支付机构共享以实现其确认您的支付指令并完成支付。

        2.1.5 帮助向您提供商品并完成交付

        (1)为向您提供您定制的商品,我们会向您选择的供应商披露您的订单信息,包括商品类型、规格、数量及材质等必要信息。您知晓并同意您选择的供应商不可避免地获知您的订单信息,以便其可向您提供您定制的商品。

        (2)为保证您定制的商品能够顺利、安全、准确送达,我们会向您选择的物流服务商披露订单相关的配送信息。您知晓并同意您选择的物流服务商不可避免地获知您的配送信息,用于完成交付目的。

        (3)为向您提供售后与争议解决服务之目的,我们需要及时获悉并确认商品的生产或交付进度及状态,您同意我们可自供应商或物流服务商处收集相关的信息。

        2.1.6 客服及争议处理

        (1)为在您与我们联系时或在您提出售中、售后、争议纠纷处理申请时能够尽快帮助您解决问题或记录相关问题的处理方案及结果,我们可能会保存您与我们的沟通、通信/通话记录及相关内容(包括账户信息、订单信息、您为了证明相关事实提供的其他信息,或您留下的联系方式);如果您针对具体订单进行咨询、投诉或提供建议的,我们会使用您的账户信息和订单信息。

        (2)为了提供服务及改进平台服务质量的合理需要,我们还可能使用的您的其他信息,包括您与客服联系时您提供的相关信息,您参与问卷调查时向我们发送的问卷答复信息。

        2.1.7 为您提供安全保障

为提高您使用我们产品与/或服务的安全性,保护您或其他用户或公众的人身财产安全免遭侵害,更好地预防钓鱼网站、欺诈、网络漏洞、计算机病毒、网络攻击、网络侵入等安全风险,更准确地识别违反法律法规或平台相关协议、规则的情况,我们将收集您的设备信息、服务日志信息,并可能使用或整合您的会员信息、交易信息、设备信息、服务日志信息,来综合判断您账户及交易风险、进行身份验证、检测及防范安全事件,并依法采取必要的记录、审计、分析、处置措施。

    2.2 收集和使用个人信息的其他规则

        2.2.1 若您提供的信息中含有其他用户的个人信息,在提供这些个人信息之前,您需确保您已经取得合法的授权。

        2.2.2 若我们将信息用于本政策未载明的其他用途,或者将基于特定目的收集而来的信息用于其他目的,均会事先获得您的同意。

        2.2.3 事先征得授权同意的例外。

        根据相关法律法规规定,我们在以下情况下收集、使用您的个人信息无需您的授权同意:

        (1)与国家安全、国防安全有关的;

        (2)与公共安全、公共卫生、重大公共利益有关的;

        (3)与犯罪侦查、起诉、审判和判决执行等有关的;

        (4)为应对突发公共卫生事件,或者紧急情况下为保护个人信息主体或其他个人的生命、财产等重大合法权益所必需的;

        (5)所收集的个人信息是您自行向社会公众公开或者其他已经合法公开的;

        (6)为履行法定职责或者法定义务所必需的;

        (7)法律法规规定的其他情形。

        请知悉,根据适用的法律,若我们对个人信息采取技术措施和其他必要措施进行处理,使得数据接收方无法重新识别特定个人且不能复原,或我们可能会对收集的信息进行去标识化地研究、统计分析和预测,用于改进我们的产品与/或服务,则此类处理后数据的使用无需另行向您通知并征得您的同意。

三、我们如何共享、转让、公开披露个人信息

    3.1 共享

        3.1.1 我们不会与平台(含本平台关联公司)以外的任何公司、组织和个人共享您的个人信息,但以下情况除外:

    (1)为向您提供您所需要的服务,我们会根据您的选择,将您的订单信息中与交易有关的必要信息共享给相关商品或服务的提供者,以实现您的交易、配送及售后服务需求(包括但不限于:商品或技术服务的供应商、物流服务供应商、第三方支付机构等);

    (2)事先获得您的明确同意或授权后与其他方共享您的个人信息;

    (3)我们可能会根据法律法规规定、诉讼、争议解决需要,或按行政、司法机关依法提出的要求,对外共享您的个人信息。

        3.1.2 我们只会共享必要的个人信息,且仅会出于本政策声明的合法、正当、必要、特定、明确的目的共享您的个人信息,如果我们共享您的个人敏感信息或信息接收方改变个人信息的使用及处理目的,将再次征求您的授权同意。

    3.2 转让

    我们不会将您的个人信息转让给任何公司、组织和个人,但以下情况除外:

    (1)事先获得您明确同意或授权的;

    (2)根据中华人民共和国有关法律、法规或相关政策的要求、行政或司法机关要求所必须的;

    (3)在涉及合并、收购、资产转让或类似的交易时,如涉及到个人信息转移,我们会要求新的持有您个人信息的公司、组织继续受本政策的约束,否则,我们将要求该公司、组织重新向您征求授权同意。

    3.3 公开披露

    根我们仅会在以下情况下,全部或部分的公开披露您的个人信息:

        (1)经您事先同意或根据您的需求,向第三方披露您的个人信息或/及您指定的信息;

        (2)根据中华人民共和国相关法律、法规及相关国家政策的规定,或者行政、司法机构的要求必须提供您的个人信息时,我们可能会依据所要求的个人信息类型和披露方式公开披露您的个人信息;

        (3)如您出现违反中华人民共和国有关法律、法规或相关政策以及本平台服务条款或相关规则的情况导致本平台遭受损失或给第三人造成损害的,为维护本平台利益及相关第三人合法权益的,本平台有权将您的个人信息进行披露或向第三方披露。

    3.4 事先征得授权同意的例外

    我们仅会在以下情况下,全部或部分的公开披露您的个人信息:

        (1)与国家安全、国防安全有关的;

        (2)与公共安全、公共卫生、重大公共利益有关的;

        (3)与犯罪侦查、起诉、审判和判决执行等有关的;

        (4)为应对突发公共卫生事件,或者紧急情况下为保护个人信息主体或其他个人的生命、财产等重大合法权益所必需的;

        (5)所收集的个人信息是您自行向社会公众公开或者其他已经合法公开的;

四、Cookie的使用

    4.1 在您未拒绝接受Cookie的情况下,本平台会在您的计算机上存储或取用Cookie,以便您能登录或使用依赖于Cookie的本平台服务或功能。

    4.2 您有权选择接受或拒绝接受Cookie。您可以通过浏览器修改对Cookie的接受程度或拒绝我们的Cookie。但如果您选择拒绝接受Cookie,则您可能无法登录或使用依赖于Cookie的本平台部分服务或功能。

五、我们如何存储和保护您的个人信息

    5.1 信息存储

        5.1.1 存储地点:我们在中华人民共和国境内运营中收集的与您相关的信息和资料,将存储在中国境内。

        5.1.2 存储期限:我们只会在达成本政策所述目的所需的期限内保留您的个人信息,除非法律有强制的留存要求,例如《中华人民共和国电子商务法》要求商品和服务信息、交易信息保存时间自交易完成之日起不少于三年。我们判断个人信息的存储期限主要参考以下标准并以其中较长者为准:

        (1)完成与您相关的交易目的、维护相应交易及业务记录,以应对您可能的查询或投诉;

        (2)保证我们为您提供服务的安全和质量;

        (3)您是否同意更长的留存期间;

        (4)是否存在关于保留期限的其他特别约定或法律法规规定。

    在超出保留期间后,我们会根据适用法律的要求删除您的个人信息,或使其匿名化处理。

    5.2 信息保护

        5.2.1 平台保护

        我们会采用符合业界标准的安全防护措施来防止您的个人信息遭到未经授权的访问、使用、修改或公开披露,并避免数据的损坏或丢失。具体措施包括但不限于:

        (1)我们仅会允许有必要知晓这些信息的POPCUSTOMS平台及POPCUSTOMS平台关联方的员工、合作伙伴访问您的个人信息,并同时要求可能接触到您个人信息的所有人员履行相应的保密义务。如上述主体未能履行这些义务,我们将视情节严重程度追究其法律责任或中止/终止其与POPCUSTOMS平台的合作关系。

        (2)本平台帐号均有安全保护功能,我们将通过对用户密码进行加密等安全保护措施确保您的信息不丢失,不被滥用和被修改。

        (3)当我们需要对外展示您的个人信息时,我们会采用包括内容替换、匿名处理、去标识化等方式对您的信息进行脱敏,以保护您的信息安全。

        (4)在收集和使用您的个人敏感信息及按照本政策声明的需要向第三方提供您的个人信息时,我们会对此进行个人信息保护影响评估,并对相关情况进行记录。

        5.2.2 自主防范

        您在使用我们平台的产品与/或服务时应注意保护您的个人信息安全,我们建议您为您的账号设置复杂密码以提高账户安全性。

        在使用本平台服务时,您不可避免的要向服务提供方(如物流服务商等)披露自己的个人信息,如联系方式或联系地址。请您妥善保护自己的个人信息,仅在必要的情形下向他人提供。

六、您如何管理您的信息

    6.1 查询、更正和补充您的信息

    您可以登录POPCUSTOMS平台,点击”账号设置”后查询、更正和补充个人资料及个人账户相关信息。

    6.2 删除您的信息

        6.2.1 您可以通过”(一)查询、更正和补充您的信息”中列明的方式删除您的信息。

        6.2.2 在以下情形中,您也可以通过与平台客服联系向我们提出删除个人信息的请求:

        (1)如果我们处理个人信息的行为违反法律法规;

        (2)如果我们收集、使用您的个人信息,却未征得您的明确同意;

        (3)如果我们处理个人信息的行为严重违反了与您的约定;

        (4)如果您无法自行删除您的信息。

        当您自行删除或我们协助您删除相关信息后,因为适用的法律和安全技术限制,我们可能无法立即从备份系统中删除相应的信息,我们将安全地存储您的个人信息并限制对其的任何进一步的处理,直到备份可以清除或实现匿名化。

    6.3 注销您的账户

    您可以联系客服寻求帮助,协助您申请注销您的账户。

    在您主动注销账户之后,我们将停止为您提供产品或服务,并根据适用法律的要求删除您的个人信息,或对其进行匿名化处理。

    6.4 响应您的上述请求

    对于您向我们提出的上述请求,我们将及时做出答复,但在以下情形中,我们将无法响应您的请求:

    1、与我们履行法律法规规定的义务相关的;

    2、与国家安全、国防安全直接相关的;

    3、与公共安全、公共卫生、重大公共利益直接相关的;

    4、与刑事犯罪侦查、起诉、审判和执行判决等直接相关的;

    5、有充分证据表明个人信息主体存在主观恶意或滥用权利的;

    6、出于维护个人信息主体或其他个人的生命、财产等重大合法权益的;

    7、响应您的请求将导致您或其他个人、组织的合法权益受到严重损害的;

    8、涉及商业秘密的。

七、关于未成年人个人信息的保护

    7.1 POPCUSTOMS平台不为未成年人提供服务。在您使用我们平台提供的产品与/或服务时我们推定您具有相应的民事行为能力。

    7.2 如果有事实证明未成年人在未取得监护人同意的情况下注册使用了我们的产品与/或服务,我们会在了解该情况后立刻停止为其提供产品或服务并尽快删除相关个人信息。

    7.3 如您为未成年人的监护人,当您对您所监护的未成年人的个人信息处理存在疑问,或对此有任何意见、建议或投诉、举报,您可通过本政策列明的联系方式与我们取得联系,我们会随时为您提供帮助。

八、本隐私权政策的更新

    8.1 为给您提供更好的服务或因技术发展需要或根据国家相关政策的调整,我们可能会不时地更新本隐私权政策,并在平台中公开发布更新后的隐私权政策,以便您及时了解更新后的政策内容。

    8.2 若涉及重大变更,我们将会以更为显著的方式向您通知(包括但不限于站内信、公告或在浏览页面做特别提示等)。本隐私权政策所指的重大变更包括但不限于:

        (1)我们对个人信息的使用发生重大变化的。如使用个人信息的目的、使用方式或使用的个人信息种类等;

        (2)个人信息共享、转让或公开披露的主要对象发生变化;

        (3)您参与个人信息处理方面的权利及其行使方式发生重大变化;

1. 引言与目的

为保障福建众潮科技有限公司(以下简称“公司”)旗下POPCUSTOMS应用(以下简称“本应用”)的数据安全,全面遵循《中华人民共和国网络安全法》《中华人民共和国数据安全法》《中华人民共和国个人信息保护法》等相关法律法规,特制定本规定。

本规定是公司内部数据安全管理的强制性文件,旨在明确数据分类标准、保护措施、操作流程及责任归属,确保所有数据处理活动在安全、合规的框架下运行。所有接触公司数据及用户个人信息的员工、承包商及第三方合作伙伴,必须严格遵守本规定。

2. 核心原则

合法合规原则: 所有数据收集与处理活动必须具有合法依据,并获得用户的明确授权。

最小必要原则: 仅处理为实现特定、明确、合法的目的所必需的最少数据类型和数量。

权责一致原则: 明确各部门及各岗位在数据安全保护方面的责任和义务。

安全防护原则: 采取与技术发展、业务风险水平相适应的技术与管理措施,确保数据安全。

全程可控原则: 对数据的收集、存储、使用、加工、传输、提供、公开、删除等全生命周期实施安全管理。

3. 数据分类与保护级别

公司对处理的数据进行如下分类,并采取相应的保护措施:

Level 1内部数据,业务运营产生的非公开内部数据,不直接标识个人。应用崩溃日志、性能分析数据、内部业务操作日志。逻辑隔离存储;访问受公司网络和权限控制。
Level 0公开数据 已公开可自由使用的信息。产品公开描述、公司新闻、帮助中心文章。常规管理。 

4. 技术安全措施

加密技术:

传输加密: 所有客户端与服务器之间的通信强制使用TLS 1.3协议,并禁用不安全的加密套件。

存储加密:

用户密码使用 bcrypt 算法(工作因子12)进行哈希加盐存储。

高度敏感数据(如身份证号)使用 AES-256 算法在数据库层面进行加密存储。

访问控制:

权限最小化: 严格执行权限最小化原则,员工仅能访问其职责绝对必需的数据。权限申请需经部门负责人及数据保护专员(DPO)书面审批。

账号安全: 强制使用复杂密码策略并定期更换。对核心系统和管理后台的访问启用双因素认证 (2FA)。

日志审计: 对所有后台管理操作、数据库查询(尤其是涉及用户数据的)进行不可篡改的日志记录。安全团队每月对访问日志进行一次全面审计。

安全开发与测试:

将安全要求纳入软件开发生命周期(SDLC),新功能上线前必须进行代码安全审计和隐私影响评估(PIA)。

每季度委托第三方安全公司或内部红队进行一次渗透测试,并对发现的所有高危漏洞在72小时内进行修复。

5. 组织与管理措施

数据保护负责人: 任命数据保护负责人,负责本规定的监督执行与合规对接。

员工培训: 所有新员工必须接受数据安全与隐私保护的入职培训,并每年进行一次强化培训,培训记录留档。

第三方管理: 所有集成第三方SDK(如支付宝、微信登录)均需经过技术合规评估,并签署数据保护协议,明确其责任与义务。主要第三方信息见附录。

数据泄露应急响应:

设立7×24小时安全事件应急响应小组。

一旦发生疑似数据泄露事件,立即启动应急流程:遏制->评估->通知->补救。

如确认泄露,将在法律法规要求的时限内(如72小时内)向监管部门和受影响的用户履行报告和通知义务。

6. 数据留存与删除

用户个人信息保存期限为实现处理目的所必需的最短时间。

用户主动注销账户后,我们将在30天内将其个人数据从业务系统中删除,并在后续的备份清理周期(最长不超过60天)内从所有备份中完成删除。

超过保存期限的数据将进行匿名化处理,使其无法识别特定个人且不可复原。

7. 审计与更新

本规定每年至少进行一次全面评审,或随法律法规及业务变化及时更新。

所有修订版本都将通过版本号进行追踪,并经管理层批准后发布。

1. Introduction and Purpose

To ensure the data security of the POPCUSTOMS application (hereinafter referred to as “the App”) operated by Fujian Zhongchao Technology Co., Ltd. (hereinafter referred to as “the Company”), and to fully comply with relevant laws and regulations such as the Cybersecurity Law of the People’s Republic of China, the Data Security Law of the People’s Republic of China, and the Personal Information Protection Law of the People’s Republic of China, this regulation is hereby established.

This regulation is a mandatory internal document for the Company’s data security management. It aims to define data classification standards, protection measures, operational procedures, and responsibility attribution, ensuring that all data processing activities operate within a secure and compliant framework. All employees, contractors, and third-party partners who have access to Company data and user personal information must strictly adhere to this regulation.

2. Core Principles

Lawfulness and Compliance: All data collection and processing activities must have a legal basis and obtain explicit user authorization.

Data Minimization: Only the minimum types and amount of data necessary to achieve specific, explicit, and legitimate purposes shall be processed.

Accountability: The responsibilities and obligations of various departments and positions regarding data security protection shall be clearly defined.

Security Safeguards: Technical and administrative measures commensurate with technological developments and business risk levels shall be adopted to ensure data security.

Lifecycle Control: Security management shall be implemented throughout the entire data lifecycle, including collection, storage, use, processing, transmission, provision, disclosure, and deletion.

3. Data Classification and Protection Levels

The Company classifies processed data as follows and implements corresponding protection measures:

4. Technical Security Measures

Encryption Technology:

Encryption in Transit: All communication between clients and servers mandates the use of TLS 1.3 protocol, with insecure cipher suites disabled.

Encryption at Rest:

User passwords are stored using the bcrypt algorithm (work factor 12) with salting.

Highly sensitive data (e.g., national ID numbers) is encrypted at the database level using the AES-256 algorithm.

Access Control:

Principle of Least Privilege: Strictly enforced. Employees can only access data absolutely necessary for their duties. Access requests require written approval from department heads and the Data Protection Officer (DPO).

Account Security: Complex password policies with mandatory periodic changes are enforced. Two-factor authentication (2FA) is enabled for access to core systems and admin panels.

Logging and Auditing: Immutable logs are maintained for all backend administrative operations and database queries (especially those involving user data). The security team conducts a comprehensive audit of access logs monthly.

Secure Development and Testing:

Security requirements are integrated into the Software Development Lifecycle (SDLC). Code security audits and Privacy Impact Assessments (PIA) are mandatory before new features are launched.

Penetration testing is conducted quarterly by third-party security firms or an internal red team. All identified critical vulnerabilities must be remediated within 72 hours.

5. Organizational and Administrative Measures

Data Protection Officer: A Data Protection Officer is appointed to oversee the implementation of this regulation and ensure compliance.

Employee Training: All new employees must undergo onboarding training on data security and privacy protection, with annual refresher training conducted. Training records are maintained.

Third-Party Management: All integrated third-party SDKs (e.g., Alipay, WeChat Login) undergo technical compliance assessments and must sign Data Protection Agreements clarifying their responsibilities. A list of key third parties is provided in the Appendix.

Data Breach Response:

A 7×24 Security Incident Response Team is established.

Upon detection of a suspected data breach, the emergency response process is immediately activated: Contain -> Assess -> Notify -> Remediate.

If a breach is confirmed, reporting obligations to regulators and affected users will be fulfilled within the timeframe required by law (e.g., 72 hours).

6. Data Retention and Deletion

User personal information is retained for the minimum period necessary to achieve the processing purposes.

After a user actively cancels their account, their personal data will be deleted from business systems within 30 days, and from all backups during the subsequent backup cleanup cycle (not exceeding 60 days in total).

Data that exceeds the retention period will be anonymized, making it impossible to identify specific individuals and irreversible.

7. Audit and Update

This regulation is reviewed at least annually in full, or updated promptly in response to changes in laws, regulations, or business operations.

All revised versions are tracked by version number and published after approval by management.

        为更好的保障POPCUSTOMS平台(以下简称 “平台”)用户(以下简称”您”)的权益,展现优质的服务能力,平台针对所有在售产品提供无忧售后服务。具体售后政策如下: 

一、售后保障范围

凡用户通过平台定制购买的产品,因产品本身问题或生产商发货问题(详见下表),用户均可在产品签收后30天内向平台客服申请售后服务,平台将根据用户提交的证据审核并与您协商处理方案。

1、下列情况不属于产品本身问题,生产商不承担赔偿责任

*以下情形不属于售后保障范围:

(1)因拍摄灯光及不同显示器分辨率等原因所导致的实物与网页图片存在的正常色差,不属于产品本身问题; 

(2)因用户使用平台设计器设计所呈现的产品效果图为模拟图,仅供参考使用,而非生产标准,故产品实物与设计器效果图有不一致的情形属于正常现象,不属于产品本身问题; 

(3)因非生产商原因造成的产品损坏、异形; 

(4)产品外包装丢失、破损、脏污。 

2、因不可抗力(包括但不限于战争、暴乱、恶劣天气、台风、火灾、水灾、重大交通事故、政府行为及人为无法控制的各种情形)所造成的产品毁损及灭失,不属于售后保障范围。

3、因收件人不及时或无法配合海关清关导致物流延迟。

4、因用户定制的产品违反法律法规相关规定或侵犯第三人的合法权利而导致产品无法发出或发出后被追回、被销毁或被有关权力机关扣押等损失的,由用户自行承担损失,不属于本政策所规定的售后保障范围。

5、已超过售后申请时效的产品。

6、其他依照法律法规和本政策规定不属于售后保障范围的情形。

二、售后流程

1、用户向平台客服申请售后服务,说明申请售后的原因及详细描述具体问题,按照平台客服要求提供相应的证据。用户提交的售后申请,平台承诺在2个工作日(自用户提交申请后开始计算,如遇周末、法定节假日等则相应顺延)内受理。

2、平台将核实售后理由是否属实,无异议的情形下,平台客服会通过用户提交的售后申请。

3、售后申请通过后,平台将按照您的需求重新生产发货或者将款项退回您的账户余额,预计处理时长为1-3个工作日。退款金额以用户下单时实际支付的金额(包含货款及运费)为准,支付过程中所使用的优惠券、满减等任何形式的优惠部分均不予退款。对于仅需就部分产品进行退款的订单,补偿的运费金额按照货款价值所占比例进行计算。

三、本《产品售后政策》自发布之日起生效,本政策的最终解释权归福建众潮科技有限公司所有。
